Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Koren Enterprises LLC, doing business as Independent Management Workspaces (“IMW,” “we,” “us”) governing your use of IMW Invoice (the “Service”), our hosted invoicing, time-tracking, and billing platform. By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company.
The Service
IMW Invoice lets you create and send invoices, track time and expenses, manage customers, and collect payments online. We host and maintain the Service, apply updates, and back your data up.
Your account
You must provide accurate information when you register and keep it current. You are responsible for safeguarding your password and for all activity under your account. Notify us promptly of any unauthorized use. You must be at least 18 years old to use the Service.
Your data and content
The data you put into the Service, including your customers, invoices, expenses, and time entries, remains yours. You grant us a limited license to store, process, and display that data solely to operate and provide the Service to you. You are responsible for the accuracy and lawfulness of the data you upload, and for having the right to use it. You can export a full copy of your data at any time by emailing [email protected], as described in our Privacy Policy.
Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent, or deceptive purpose, including sending fraudulent invoices;
- attempt to disrupt, overload, or gain unauthorized access to the Service or its infrastructure;
- reverse engineer, resell, or sublicense the Service except as expressly permitted;
- upload malware or use the Service to violate the rights of others.
AI features and assistant connections
The Service lets you connect a third-party AI assistant, such as Claude, ChatGPT, Grok, or Gemini, to your account. Using these features is optional and at your discretion. If you connect an assistant and grant it write access, any customers, invoices, estimates, or payments it creates, sends, or records are treated as actions you authorized and are your responsibility, just as if you had taken them yourself. You are responsible for reviewing what a connected assistant does on your behalf.
AI assistants can make mistakes and may produce inaccurate or incomplete output, so do not rely on their output without reviewing it. AI assistants are provided by third parties under their own terms, and data you send to them is governed by those terms, as described in our Privacy Policy. We do not control, and are not responsible for, those providers, their availability, or their handling of your data. We may add, change, or remove AI features at any time.
Fees and billing
The Service is a paid subscription with every feature included. Current pricing is shown on our pricing page, and the fees that apply to you are those presented to you when you subscribe; some customers may have different pricing, such as volume or negotiated rates. You can start with a 30-day free trial, no credit card required. After the trial, fees are billed monthly in advance, and you authorize us to charge your payment method on a recurring basis until you cancel. You are responsible for any applicable taxes.
If a payment does not go through, you have a 14-day grace period to update your card before your account is suspended. Fees are non-refundable except where required by law. We may change our pricing, and will give you reasonable notice before a change affects you.
Referral credit
When a business you refer upgrades to a paid plan and pays its first $50 in subscription fees, you receive a one-time $50 account credit for that referral. You earn at most one credit per referred company, and there is no limit on how many companies you can refer. Credits apply to your IMW Invoice balance, have no cash value, and are not transferable. We may modify or end the referral program at any time.
Payments to your customers
Online payments are processed by third-party payment processors (Authorize.Net, Stripe, and PayPal). Your use of those services is subject to their terms. You are responsible for your relationship with your own customers and for the accuracy of the invoices you send. We are not a party to the transactions between you and your customers.
Cancellation and termination
You may cancel at any time; your access continues through the end of the current billing period. We may suspend or terminate your account if you breach these Terms or fail to pay. On termination, you may export your data or request its deletion by emailing [email protected]; we handle deletion as described in our Privacy Policy.
Service availability and changes
We work to keep the Service available and fast, but we do not guarantee uninterrupted access. We may add, change, or remove features over time. We will try to avoid changes that materially reduce core functionality without notice.
Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
Limitation of liability
To the fullest extent permitted by law, IMW will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.
Indemnification
You agree to indemnify and hold IMW harmless from claims arising out of your data, your use of the Service, or your violation of these Terms or the rights of others.
Governing law
IMW Invoice is operated from our headquarters in Utah, United States, and is available to businesses across all 50 U.S. states. These Terms are governed by the laws of the State of Utah and applicable United States federal law, without regard to conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Utah.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and for material changes we will provide a more prominent notice. Continuing to use the Service after a change means you accept the updated Terms.
